These Terms and Conditions ("Terms") govern your access to and use of the FlavorTrail mobile application and related services (the "Service") provided by FlavorTrail ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
The Service is offered to and intended for users located in the United States. By using the Service, you represent that you are accessing it from the United States.
Eligibility
You must be at least 13 years old to use the Service. By using the Service, you represent that you meet this requirement and have the legal capacity to enter into these Terms.
Your Account
To use most features you must create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized access. We may suspend or terminate accounts that we reasonably believe are inaccurate, fraudulent, or in violation of these Terms.
License to Use the Service
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use.
Your Content
The Service lets you submit content such as photos, restaurant experiences, ratings, notes, comments, and other materials ("User Content"). You retain ownership of your User Content. You are solely responsible for it, including its legality and your right to share it.
By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify (for example, to resize images), display, and distribute it in connection with operating, providing, and improving the Service. This license ends when you delete the User Content or your account, except (i) for content you have shared with others who have not deleted it, (ii) to the extent we are required to retain it by law, and (iii) for backup copies that are eventually deleted in the ordinary course.
You represent and warrant that you own or have the necessary rights to your User Content and that it does not violate the rights of any third party (including privacy, publicity, and intellectual-property rights) or any law.
Acceptable Use
You agree not to:
- Post or share content that is illegal, fraudulent, threatening, harassing, defamatory, hateful, sexually explicit, violent, or otherwise objectionable.
- Post content that infringes intellectual-property, privacy, publicity, or other rights of others.
- Impersonate any person or entity or misrepresent your affiliation with anyone.
- Solicit personal information from anyone under 13, or use the Service to harm minors.
- Use the Service to send spam, chain messages, or unauthorized advertising.
- Interfere with the operation or security of the Service, or attempt to access accounts, data, or systems you are not authorized to access.
- Reverse-engineer, decompile, or attempt to derive the source code of the Service, except where this restriction is prohibited by law.
- Scrape, crawl, or otherwise extract data from the Service without our written permission.
- Use automated means (bots, scripts) to interact with the Service in a way that disrupts other users or our infrastructure.
- Use the Service in any way that violates any applicable law or regulation.
Content Moderation and Enforcement
We use automated systems and human review to detect content that may violate these Terms. We may, at our discretion and without prior notice, remove or restrict access to content, suspend or terminate accounts, or take other actions we consider appropriate. We are not obligated to monitor User Content but may do so. If you believe content was removed in error, you may contact us.
Reporting Abuse and DMCA
If you believe content on the Service infringes your copyright or other rights, or violates these Terms, please report it through the in-app reporting tools or the contact form on our website. Provide enough detail for us to identify and review the content. We respond to valid notices in accordance with applicable law, including the U.S. Digital Millennium Copyright Act.
Third-Party Information and Services
The Service displays information about restaurants and other places sourced from third parties. We do not guarantee the accuracy, completeness, or availability of this information. You are responsible for verifying details before relying on them. The Service may also link to or interoperate with third-party services (for example, mapping, navigation, or sign-in providers); your use of those services is subject to their own terms and privacy policies.
Privacy
Our Privacy Policy explains what information we collect and how we use it. By using the Service, you agree to the practices described there.
Intellectual Property
The Service and all content other than User Content (including software, designs, graphics, logos, and trademarks) are owned by FlavorTrail or its licensors and are protected by intellectual-property and other laws. Nothing in these Terms grants you any right or license to use our names, logos, or trademarks without our prior written permission.
Feedback
If you send us suggestions, ideas, or feedback about the Service, we may use them without restriction or compensation to you.
Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your account or your access to the Service at any time, with or without notice, for any reason, including if we reasonably believe you have violated these Terms or that doing so is necessary to protect the Service, our users, or others. Sections that by their nature should survive termination (including User Content licenses already granted, intellectual-property provisions, disclaimers, limitation of liability, indemnification, and dispute-resolution provisions) will survive.
Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT CONTENT WILL BE ACCURATE OR RELIABLE. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND SUBJECT TO THE CARVE-OUTS BELOW, IN NO EVENT WILL FLAVORTRAIL OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.
SUBJECT TO THE CARVE-OUTS BELOW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US TO USE THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.
Carve-outs. Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) gross negligence or willful misconduct; or (d) any other liability that cannot be excluded or limited under applicable U.S. law, including California Civil Code §1668.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES. THESE LIMITATIONS APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.
Indemnification
To the maximum extent permitted by law, you agree to indemnify and hold harmless FlavorTrail and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (i) your use of the Service, (ii) your User Content, (iii) your violation of these Terms, or (iv) your violation of any applicable law or third-party right.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in San Francisco County, California, and you and we consent to the personal jurisdiction of those courts. Either party may bring qualifying individual claims in the small-claims court of your jurisdiction of residence within the United States as an alternative.
California Consumer Rights Notice
Under California Civil Code §1789.3, California users may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will provide reasonable notice through the Service or by other means before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms. If you do not agree, stop using the Service.
Miscellaneous
These Terms (together with our Privacy Policy) are the entire agreement between you and us regarding the Service. If any provision is held invalid or unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver of our right to do so later. You may not assign these Terms without our prior written consent; we may assign them without restriction.
